Welcome to ChiPeJ Systems (Pvt) Ltd (“ChiPeJ”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your use of the website located at https://chipej.co.zw (the “Site”), and any services provided by ChiPeJ Systems (Pvt) Ltd via the Site (collectively, the “Services”).

By accessing or using the Site and/or the Services, you agree to be bound by these Terms (and our Privacy Policy). If you disagree with any part of these Terms, you must not use the Site or Services.

1. Definitions

  • User / you / your: any person who visits or uses the Site or Services.

  • Content: text, images, audio, video, or other materials posted on or through the Site.

  • Account: a user account you may create to access certain features of the Site or Services.

  • Services: any service, functionality, or feature offered through the Site (e.g. auctions, listings, bookings, debt-management, etc.).

  • Applicable law(s): laws of Zimbabwe and any other jurisdiction applicable to your use.

2. Eligibility, Accounts & Registration

  1. Eligibility. You must be at least eighteen (18) years old (or the age of legal majority in your jurisdiction) to use the Site and Services. By using the Site, you represent and warrant that you meet these requirements.

  2. Account registration. Certain areas or services may require you to register for an Account. When registering, you agree to provide accurate, current, and complete information, and to keep it updated.

  3. Account security. You are responsible for maintaining the confidentiality of your account credentials (username, password) and for all activity under your account. You agree to notify us immediately of any unauthorized use.

  4. Termination of account. We reserve the right to suspend or terminate your account at our discretion (with or without cause), particularly in case of violation of these Terms.

3. Use of the Site & Services

  1. Permitted use. You may use the Site and Services only for lawful purposes and in accordance with these Terms. You shall not use them:

    • in any manner that violates any applicable law or regulation;

    • to exploit, harm, or attempt to exploit or harm minors;

    • to transmit any unsolicited or unauthorized advertising, spam, or junk mail;

    • to impersonate any person or entity, or misrepresent your affiliation with a person or entity;

    • to interfere with or disrupt the Site or servers or networks connected to the Site;

    • to probe, scan, or test the vulnerability of the Site.

  2. Proprietary rights. All content and materials on the Site (unless otherwise stated) are owned or licensed by ChiPeJ Systems (Pvt) Ltd and are protected by copyright, trademarks, and other intellectual property laws.

  3. User Content. When you post or upload content (e.g., listings, descriptions, photographs) to the Site:

    • You grant ChiPeJ Systems (Pvt) Ltd a worldwide, royalty-free, non-exclusive license to use, reproduce, distribute, display, and otherwise exploit such content in connection with the Services.

    • You represent and warrant that you own or have all necessary rights, licenses, and permissions to your user content, and that it does not infringe any third-party rights.

    • You agree not to post content that is unlawful, defamatory, obscene, or otherwise objectionable.

  4. Third-party links. The Site may contain links to third-party websites. These links are provided for convenience only. ChiPeJ Systems (Pvt) Ltd does not endorse or make any representations about third-party sites, and is not responsible for their content or practices.

  5. Modifications to Service / Site. We may modify, update, or discontinue the Site or any features at any time, with or without notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuance.

4. Transactions, Payments & Fees

  1. Fees & payments. Some Services (for example, auctions, listing fees, commissions) may require payment. You agree to pay all applicable fees, taxes, and charges in a timely manner using acceptable payment methods.   2. Refunds / cancellations. The refund or cancellation policy (if any) for particular services will be posted or made available in relevant sections of the Site. In the absence of a specific policy, we reserve the right at our discretion to grant or deny refunds.

  3. Taxes. You are responsible for paying any taxes or duties imposed by local authorities related to your use of Services or purchase of items.

  4. Risk and title. Unless otherwise stated, you acknowledge that risk and title to items or goods sold through the Site pass from the seller to the buyer as per the terms of the particular transaction.

5. Disclaimers & Limitation of Liability

  1. No warranties. The Site and Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, ChiPeJ Systems (Pvt) Ltd disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  2. No guarantee of availability, accuracy. We do not guarantee that the Site or Services will be uninterrupted, error-free, or secure, or that content or data is accurate or complete.

  3. Limitation of liability. To the maximum extent permitted under applicable law, ChiPeJ Systems (Pvt) Ltd and its affiliates, officers, employees, agents, and partners shall not be liable for:

    • indirect, incidental, consequential, special, punitive, or exemplary damages;

    • loss of profits, revenue, data, business, or goodwill;

    • claims arising from or related to your use, inability to use, or the results of use of the Site or Services.

    Our total aggregate liability arising out of or related to these Terms shall not exceed the total amount paid by you (if any) for use of the Services during the prior twelve (12) months.

  4. Indemnification. You agree to defend, indemnify, and hold harmless ChiPeJ Systems (Pvt) Ltd and its affiliates, officers, employees, agents, and partners from any claim, liability, loss, damage, cost, or expense (including legal fees) arising out of or related to your violation of these Terms, your user content, or your use of the Site or Services.

6. Termination & Suspension

  1. Termination by ChiPeJ Systems (Pvt) Ltd. We may suspend or terminate your access to the Site (or specific features) at any time and for any reason, including violation of these Terms or for system maintenance.

  2. Effect of termination. Upon termination:

    • your rights to use the Site and Services immediately cease;

    • we may remove or disable access to your account and content;

    • any provisions of these Terms which by their nature should survive termination will continue (e.g. indemnification, limitations of liability, ownership, dispute resolution).

7. Privacy & Data Protection

Use of the Site is also governed by our Privacy Policy, which is incorporated herein by reference. Please review it to understand how we collect, use, store, and protect personal information.

ChiPeJ Systems (Pvt) Ltd may provide notices by posting on the Site or via email. Notices by email are effective when sent; notices by postal mail are effective upon delivery or refusal of delivery.

9. Dispute Resolution & Governing Law

  1. Governing law. These Terms are governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law principles.

  2. Dispute resolution. Any dispute, claim, or controversy arising out of or in relation to these Terms or the Site/Services will be resolved as follows:

    • First, you and ChiPeJ Systems (Pvt) Ltd will attempt to resolve the matter informally through good-faith negotiation.

    • If informal negotiation fails, the dispute may be submitted to binding arbitration or the courts (as permitted by applicable law).

  3. Waiver of class actions. To the extent permitted by law, you and ChiPeJ Systems (Pvt) Ltd waive any right to participate in class actions or representative proceedings.

10. Miscellaneous

  1. Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be struck and the rest of the Terms will remain in effect.

  2. No waiver. Failure by ChiPeJ Systems (Pvt) Ltd to enforce any right or provision under these Terms does not constitute a waiver of such right or provision.

  3. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ChiPeJ Systems (Pvt) Ltd may assign or transfer these Terms or its rights without consent.

  4. Entire agreement. These Terms (together with the Privacy Policy and any documents incorporated by reference) constitute the entire agreement between you and ChiPeJ Systems (Pvt) Ltd regarding the Site and Services, superseding any prior agreements.

  5. Changes to Terms. We may revise or update these Terms from time to time. We will post the updated Terms on the Site with a new “Last updated” date. Your continued use of the Site and Services after revisions constitutes acceptance of the updated Terms.
